LICENSE – Next Iteration Agent Instruction Materials

1. Ownership

All rights, title, and interest in these materials (including all AI agent instructions, prompt files, methodologies, structures, templates, and documentation) are owned by Next Iteration.

These materials are licensed, not sold.

2. Grant of License (Limited Internal Use)

Subject to the applicable Statement of Work or written agreement, Next Iteration grants the client a limited, non-exclusive, non-transferable, and non-sublicensable license to:

• use these materials for the specific internal project(s) identified in the agreement; and
• modify the materials solely for such internal project use.

3. Authorized Users

“Authorized Users” means only those employees or contractors of the client who:

• are assigned to the applicable project(s); and
• require access on a need-to-know basis.

4. Restrictions (No Redistribution)

Unless expressly agreed in writing, the client shall not:

1) Share, distribute, publish, or otherwise make these materials available to:

• other teams, departments, divisions, or programs not part of the applicable project(s);
• affiliates, subsidiaries, parent entities, or group companies;
• third-party vendors, consultants, or service providers not acting as Authorized Users.

2) Store these materials in any repository, library, or system accessible beyond Authorized Users.

3) Reuse these materials for unrelated projects or purposes.

5. Modifications and Derivatives

The client may modify these materials for permitted internal use.

All modifications, enhancements, derivatives, or extracts remain subject to this License and do not transfer ownership of the underlying materials.

6. Confidentiality / Trade Secrets

These materials contain confidential information and proprietary know-how of Next Iteration.

The client shall protect these materials as confidential and use reasonable safeguards to prevent unauthorized disclosure or use.

7. No AI Training or Dataset Use

These materials (in whole or in part) shall not be used to:

• train, fine-tune, or improve any machine learning model or LLM;
• populate datasets, prompt libraries, or retrieval corpora;
• perform benchmarking or evaluation outside the permitted project use,

except to operate AI agents strictly within the scope of the applicable project.

8. Term and Survival

This License remains in effect for as long as the client retains these materials.

Sections 4 (Restrictions), 5 (Derivatives), 6 (Confidentiality), 7 (No AI Training), and 8 (Survival) survive termination or completion of the engagement.

9. Additional Licensing

Use of these materials beyond the permitted scope (including use by additional teams, projects, or entities) requires a separate license or written approval from Next Iteration.
